We are interested in pieces that are rooted in an intersectional feminist lens and an activist spirit. You may submit videos as submissions for consideration. Submissions should be completed works with the current topic of THE CALL.

How to Submit a Video

CURRENT TOPIC: POW: “PIECE OF WORK”

POW is a curated series of people with CHARACTER. Send us your POW for submission to our public library of human portraits. Vigilants Vision accepts videos for the POW-VIDEO (Monday through Saturday).

Videos typically run from 5 to 8 minutes, but submissions of length up to 12 minutes will be considered. All submissions must be original, and exclusive to Vigilants Vision. We will not consider videos that have already been published, in any form, in theaters or online.

Unfortunately, because the number of submissions is so large, we have to pass on much material of value and interest and cannot reply to all submissions. If you do not hear from us within three business days, please assume that we will not be able to use your video. You should then feel free to offer it elsewhere.

Arbitration

You agree that any dispute between you and us relating in any way to the Services, our advertising or marketing practices, any Products sold or distributed through the Services, or this Agreement, will be resolved by binding arbitration, rather than in court, except that (1) you may assert claims in small claims court if your claims qualify, so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis; and (2) you or we may seek equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents). This Arbitration Agreement shall apply, without limitation, to all claims that arose or were asserted before the Effective Date of this Agreement or any prior version of this Agreement.

IF YOU AGREE TO ARBITRATION WITH US, YOU ARE AGREEING IN ADVANCE THAT YOU WILL NOT PARTICIPATE IN OR SEEK TO RECOVER MONETARY OR OTHER RELIEF IN ANY LAWSUIT FILED AGAINST US ALLEGING CLASS, COLLECTIVE, AND/OR REPRESENTATIVE CLAIMS ON YOUR BEHALF. INSTEAD, BY AGREEING TO ARBITRATION, YOU MAY BRING COVERED CLAIMS AGAINST US ONLY IN AN INDIVIDUAL ARBITRATION PROCEEDING. IF SUCCESSFUL ON SUCH CLAIMS, YOU COULD BE AWARDED MONEY OR OTHER RELIEF BY AN ARBITRATOR. YOU ACKNOWLEDGE THAT YOU HAVE BEEN ADVISED THAT YOU MAY CONSULT WITH AN ATTORNEY IN DECIDING WHETHER TO ACCEPT THIS ARBITRATION AGREEMENT.

The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to info@vigilantsvision.com The arbitration will be conducted by JAMS, an established alternative dispute resolution provider. Disputes involving claims and counterclaims with an amount in controversy under $250,000, not inclusive of attorneys' fees and interest, shall be subject to JAMS' most current version of the Streamlined Arbitration Rules and procedures available at http://www.jamsadr.com/rules-streamlined-arbitration/; all other claims shall be subject to JAMS's most current version of the Comprehensive Arbitration Rules and Procedures, available at http://www.jamsadr.com/rules-comprehensive-arbitration/. JAMS's rules are also available at www.jamsadr.comor by calling JAMS at 800-352-5267. If JAMS is not available to arbitrate, the parties will select an alternative arbitral forum. If the arbitrator finds that you cannot afford to pay JAMS's filing, administrative, hearing and/or other fees and you cannot obtain a waiver from JAMS, we will pay them for you. In addition, we will reimburse all such JAMS' filing, administrative, hearing and/or other fees for claims with an amount in controversy totaling less than $10,000 unless the arbitrator determines the claims are frivolous.

You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

The arbitrator, and not any federal, state or local court or agency shall have exclusive authority to resolve any dispute related to the interpretation, applicability, enforceability or formation of this Arbitration Agreement including, but not limited to any claim that all or any part of this Arbitration Agreement is void or voidable. The arbitrator will decide the rights and liabilities, if any, of you and us. The arbitration proceeding will not be consolidated with any other matters or joined with any other proceedings or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim or dispute. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the arbitral forum's rules, and this Agreement (including the Arbitration Agreement). The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which any award (or decision not to render an award) is based, including the calculation of any damages awarded. The arbitrator shall follow the applicable law. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and us.

Waiver of Jury Trial. YOU AND WE HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT (OTHER THAN SMALL CLAIMS COURT AS PERMITTED HEREIN) AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and we are instead electing that all covered claims and disputes shall be resolved by arbitration under this Arbitration Agreement, except as specified herein. An arbitrator can award on an individual basis the same damages and relief as a court and must follow this Agreement as a court would. However, there is no judge or jury in arbitration, and court review of an arbitration award is subject to very limited review.

Waiver of Class or Consolidated Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE OR REPRESENTATIVE BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE FOR CLAIMS COVERED BY THIS ARBITRATION AGREEMENT, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. Notwithstanding anything to the contrary herein, in the event that this section is deemed invalid or unenforceable with respect to a particular claim or dispute, neither you nor we shall be entitled to arbitration of such claim or dispute and instead the applicable claim or dispute shall be resolved in a court as set forth below.

To the extent the parties are permitted under this Agreement to initiate litigation in a court, both you and we agree that all claims and disputes arising out of or relating to this Agreement will be litigated exclusively in the state courts in Los Angeles County, California or federal courts located in the Central District of California, Western Division.

Subject to “Waiver of Class or Consolidated Actions,” above, if any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Arbitration Agreement shall continue in full force and effect.

This Arbitration Agreement will survive the termination or expiration of the Agreement or your relationship with us.

Notwithstanding any provision in this Agreement to the contrary, we agree that if we make any future material change to this Arbitration Agreement, it will not apply to any individual claim(s) of which you had already provided notice to us.

Termination/Access Restriction

We reserve the right, in our sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of California and you hereby consent to the exclusive jurisdiction and venue of courts in California in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this agreement or use of the Site. Our performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of our right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by us with respect to such use. Apart from severability tailored to arbitration terms contained in Paragraph 9, above, if any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and us with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and us with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Changes to Terms

We reserve the right, in its sole discretion, to change the Terms under which https://vigilantsvision.com/ is offered. The most current version of the Terms will supersede all previous versions. We encourage you to periodically review the Terms to stay informed of our updates.

These are the official Terms and Conditions of the vigilants Vision Open Source Series The Call (the “The Call”) sponsored by Vigilants LLC (the “Sponsor”).

THIS THE CALL IS INTENDED FOR U.S. RESIDENTS AND PARTICIPATION IN THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT SUBMIT IF YOU ARE NOT ELIGIBLE AND ARE NOT LOCATED IN THE 50 UNITED STATES OR THE DISTRICT OF COLUMBIA AT THE TIME OF SUBMISSION.

YOUR SUBMISSION TO THE CALL DOES NOT GRANT SPONSOR OR ANY THIRD PARTIES ANY OWNERSHIP TO YOUR SUBMITTED INTELLECTUAL PROPERTY. YOU RETAIN COPYRIGHT AND ALL OWNERSHIP TO YOUR WORK.

Eligibility: To submit and be eligible to participate in The Call, you must be a legal resident of the fifty (50) United States or the District of Columbia, be 18 years of age or older, have the right to enter into contracts in your own name, have 100% ownership (or a valid license to all elements contained therein) in and to your Submission (as defined below) and a YouTube/Vimeo account as applicable. Employees, contractors, directors, and officers of Sponsor and all other service agencies involved with The Call (“Submission Entities”), and members of each of their immediate families (spouses, parents, grandparents, children and siblings, and their respective spouses), and those living in the same household of each are not eligible to submit. Participation in The Call constitutes Submitter’s (defined below) full and unconditional agreement to, and acceptance of, these Official Terms and Conditions and the Vigilants LLC Terms of Use and Privacy Policy. Being eligible for The Call is contingent upon fulfilling all requirements set forth herein as determined by Sponsor in its sole discretion.

Union or Guild Payments/P&W: Submitter (“you”) acknowledges that Sponsor is not a signatory to any collective bargaining agreement covering your participation, appearance, and Submission. The Submission is rendered on a non-union basis. You warrant and represent that you are not a member of any talent or performer guild or union. You agree and acknowledge that the Submission (including the creation of the Submission) are not subject to agreements with any union or labor organization involved in the performing arts, including, but not limited to SAG-AFTRA, WGA or DGA.

Submission Period: The submission period for The Call starts [NOVEMBER/01/2019] [12 pm] [PST] and ends [JUNE/01/2020] ([12 pm] [PST] (the “Submission Period”), and is subject to extension in Sponsor’s sole discretion. By making a Submission, you hereby agree that the Submission shall not be publicly displayed/broadcast or otherwise published, in any format other than in The Call, from the date of the Submission Period through a period of six (6) months thereafter. Winners will be selected on [APRIL/15/2020] [12 pm] [PST].

How to Submit to The Call: You can submit (“Submit”) to The Call by uploading your film or essay submission (collectively, “Submission”) directly to Sponsor’s website at www.vigilantsvision.com (“Sponsor’s Website”), and providing all additional information requested by Sponsor, during the Submission Period. Limit one (1) film and one (1) essay Submission per person/e-mail address, per series.

Automated Submissions are prohibited and any such use will cause disqualification. Submitters may not Submit with multiple email addresses/YouTube/Vimeo accounts or use any other device or artifice to Submit multiple times or as multiple Submitters. If you have submitted a Submission or attempted to Submit multiple times using multiple identities, multiple YouTube/Vimeo accounts, or multiple email addresses, or if you have submitted or attempted to submit more than the Submission limit provided herein, all of your Submissions will be declared null and void in Sponsor’s discretion. Each Submission will be subject to these Terms of Use, and must comply with the Submission requirements set forth in more detail below. Presence of a Submission on the Website is not a confirmation, representation, or warranty by the Sponsor or any of its representatives that the Submission is compliant with these Official Terms and Conditions. Sponsor’s decisions with respect to whether a Submission complies with these Official Terms and Conditions are final and binding and may be made by Sponsor at any time. Submissions that do not meet the requirements set forth in these Official Terms and Conditions may not be acknowledged and may be automatically disqualified, in the sole discretion of the Sponsor. Sponsor is not responsible for incorrect or inaccurate Submission information, whether caused by any of the equipment or programming associated with or utilized in The Call or YouTube/Vimeo or by any technical or human error that may occur in the processing of the Submissions.

Your Submission must comply with all requirements set forth herein, including the Submission requirements provided in Section 5, to be considered an eligible The Call Submission, in Sponsor’s sole discretion.

By submitting a Submission, Submitters agree to indemnify, defend and hold Submission Entities (as defined in Section 1) harmless from and against any and all claims, demands, actions, causes of action, damages, costs or expenses brought against or suffered or incurred by the Submission Entities, or any of them, arising out of or in connection with the participation by the Submitters in this The Call, any breach by the Submitters of the warranties or agreements contained herein or the use, in whole or in part, by any Submission Entity of any Submission (or portion thereof) submitted by the Submitters in this The Call. By participating, Submitters agree to these Official Terms and Conditions, which are final and binding in all respects.

The Call Submission Requirements: By submitting a Submission into The Call, you warrant and represent that the Submission conforms to the Official Terms and Conditions, the requirements and Terms of Use set forth on Sponsor’s Website, and the Submission Requirements set forth herein.

Each Submission must meet the following “Submission Requirements” (any Submission that, in the Sponsor’s sole and absolute discretion, violates the following criteria may be disqualified). Please also include the contact information of all director(s), producer(s), and writer(s) of the Submission, and the right to provide such information in conjunction with the Submission if it is selected to be featured:

Format: embed and upload the “Share” link of the video from a YouTube or Vimeo Account, using the Submission Form on the Call for Video Webpage

Length: 5 – 12 minutes

Language: English, unless subtitles are provided

For Essays

Format: upload a PDF or Word document using the Submission Form on the Call for Essay Webpage. All submissions should have a Title and indication of author (e.g., “Written by “).

For Both Videos and Essays

You must own all rights (or have valid licenses) in the Submission and have the right to grant Sponsor a license to exploit the Submission (including any material embodied in the Submission, including musical compositions and master recordings) in any and all media now known or hereafter devised throughout the universe in perpetuity and that you have paid and will pay in full all license fees, clearance fees, royalties (including public performance royalties) and other obligations, of any kind, arising from or associated with the exploitation of the Submission.
The Submission cannot be unnecessarily violent, or derogatory of any ethnic, racial, gender, religious, professional or age group;
The Submission cannot be defamatory or libelous or endorse any form of hate or hate group;
The Submission cannot defame, misrepresent or contain disparaging remarks about Sponsor, Submission Entities, or their products;
The Submission cannot infringe on any trademarks, logos, copyrighted works, trade dress (such as distinctive packaging or building exteriors/interiors), or any intellectual property owned by others (including but not limited to music, photographs, sculptures, paintings, and other works of art or images, published on or in websites, television, movies, or other media); Sponsor does not permit the infringement of others’ rights or any use of materials not original to the Submitter (except copyrighted materials owned by Sponsor). A violation of the aforementioned is grounds for disqualification from The Call;
The Submission cannot contain materials infringing on any individual’s right of publicity; you must have express permission from that person to use their likeness and performance in connection with The Call;
The Submission cannot violate any law or otherwise be inappropriate; all as determined by Sponsor in its sole discretion.

Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Submitters. Sponsor reserves the right to waive The Call Submission requirements set forth herein in its sole discretion. Sponsor reserves the right, in its sole discretion, during or upon completion of the Submission Period, to request that any Submitter resubmit the Submission that fails to comply with The Call Submission requirements. By submitting a Submission, Submitter agrees that its Submission is made on a gratis basis and without restriction, and will not place Sponsor under any obligation, and that Sponsor is free to disclose the Submission and the ideas contained in the Submission on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. By Submitting, Submitter acknowledges that Sponsor has no obligation to use or post any Submission it submits. Submitter acknowledges that, by acceptance of the Submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than Submitter. By submitting a Submission, Submitter warrants and represents that it: (a) is Submitter’s original work, (b) has not been previously published or featured on any public facing platform, (c) has not won previous awards, (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity, or other intellectual property or other rights of any person or entity; and that (e) posting of the Submission via various media including Web posting on Sponsor’s Website, will not infringe on the rights of any third party. Submitter will indemnify and hold harmless Sponsor, YouTube/Vimeo, and Submission Entities from any claims to the contrary.

Judging: Sponsor reserves the right to judge each eligible Submission received during the Submission Period and Sponsor may designate any Submission as a “Winner” in either the film or essay category, subject to verification and Sponsor’s discretion thereto. All Winners shall have a limited, nonexclusive, non-transferable, revocable license to use Sponsor’s logo to promote its selection in The Call, provided that such logo is used according to all requirements provided by Sponsor. If the Submission is named a “Winner” by Sponsor, Submitter grants each of the following rights to the Sponsor, without reservations, conditions or qualifications and without limitation of any of Sponsor’s other rights hereunder: (a) the right to use footage, stills and/or titles, and information from or relating to the Submission for promotional purposes; and (b) the right to issue and authorize publicity concerning the Submitter and the Submission and to use all associated names, likenesses and biographical information. Submitter also agrees to provide up-to-date contact information pertaining to the director(s) and producer(s) of the Submission, and to grant the Sponsor, at their sole and absolute discretion, the right to provide this information to film industry organizations that sponsor The Call events.

LICENSE/Use of Submission: BY SUBMITTING ANY SUBMISSION, SUBMITTER ACKNOWLEDGES THAT THE SUBMISSION MAY BE POSTED ON ANY OF SPONSOR’S WEBSITE(S), IN SPONSOR’S DISCRETION. Submission of any Submission grants Sponsor and its agents an unlimited, perpetual, non-exclusive, worldwide, royalty-free, sub-licensable, license and right to exploit, publish, use, publicly perform, publicly display, adapt, edit, and/or modify and adapt the Submission in any way (including without limitation the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies), in any and all media now known or hereinafter developed, worldwide, without limitation, and without consideration to the Submitter. Such rights include, without limitation, the Sponsor’s right to designate, use, copy, transmit, excerpt, exploit, distribute, communicate to the public, create derivative works of, host, index, cache, tag and encode, including for internal use and presentations, internal trade meetings and use in advertising and promoting The Call, in perpetuity. Submitter is solely responsible for the content of the Submission. However, while Sponsor does not and cannot review every Submission and is not responsible for the content of these messages, Sponsor reserves the right to delete, move, or edit Submissions that it, in its sole discretion, deems abusive, defamatory, in violation of copyright or trademark laws, in violation of these Terms, or otherwise unacceptable. Submitter acknowledges that Sponsor is not obligated to use any of a Submission or any of the rights granted, or to produce, release, or otherwise use any of the Submission.

By Submitting, Submitters (a) acknowledge compliance with these Official Terms and Conditions, including all eligibility requirements and, (b) agree to be bound by all decisions of the Sponsor, made in their sole discretion, which shall be final and binding in all matters relating to this The Call. All issues of interpretation to be decided by Sponsor. Decisions of Sponsor are final and binding in all matters. Submitters who have not complied with these Official Terms and Conditions are subject to disqualification and all associated Submissions will be void.

Sponsor is not responsible for late, lost, damaged, stolen, misdirected, mutilated, garbled, illegible, or incomplete Submissions. Sponsor reserves the right to disqualify any Submitter’s Submission in The Call, if, in the sole discretion of the Sponsor, it determines or suspects that the Submitter has attempted to undermine the legitimate operation of The Call by cheating, hacking, deception, or other fraudulent, deceptive, or unfair practices (including any Submissions generated by script, macro, robotic, programmed, or any other automated means or any other means that subvert the Submission process).

If a dispute arises regarding who submitted an Submission, the Submission will be deemed to be submitted by the authorized account holder of the YouTube/Vimeo account/email address provided at time of Submission and the Submitter must comply with these Official Terms and Conditions. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address. As a condition of Submitting, Submitters agree to release Sponsor, Submission Entities and each of their officers, directors, employees, and agents, from any and all liability, loss, or damage incurred with respect to participating in The Call.

The Call Operation: Sponsor reserves the right in its sole discretion to cancel, modify, or suspend The Call at any time, if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes corrupt the administration, security, integrity, or proper participation of The Call.

Submission Entities do not warrant that access to The Call will be uninterrupted. Submission Entities are not responsible for any problems that may arise, including but not limited to: (a) lost, interrupted, inaccessible, or unavailable networks, servers, satellites, Internet Service Providers, Web sites, or other connection, availability or accessibility problems arising in connection with or over the course of The Call; or (b) communications failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions or hardware or software malfunctions, failures, or difficulties; or (c) failure of personal computers and/or software and hardware configurations, any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical, or other errors in connection with the administration of The Call, the processing of Submissions; or (d) for any other errors of any kind relating to or in connection with The Call, whether human, mechanical, clerical, electronic, or technical in nature; (e) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with The Call; or (f) damage to a user’s computer system occasioned by participation in this The Call or downloading any information necessary to participate in this The Call.

Disclosures: Any attempt by an Submitter or other individual to deliberately damage any website or undermine the legitimate operation of this The Call, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages from any such individual to the fullest extent permitted by law, including criminal prosecution. Any Submitter engaging in any of the foregoing activities may be disqualified (and all associated Submissions will be void).

In the event of any conflict with any The Call details contained in these Official Terms and Conditions, and The Call details contained in any other The Call materials (including but not limited to other social media content, point of sale, television, and print advertising, and other Submission media), the details of The Call as set forth in these Official Terms and Conditions shall prevail. The Official Terms and Conditions govern over all other communications. In the event of any conflict, the Official Terms and Conditions shall prevail.

The invalidity or unenforceability of any provision of these Official Terms and Conditions shall not affect the validity or enforceability of any other provision. If any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Terms and Conditions shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

Choice of Law/Binding Arbitration: All issues and questions concerning the construction, validity, interpretation and enforceability of The Call Official Terms and Conditions, or the rights and obligations of Submitter and Sponsor in connection with The Call, shall be governed by, and construed in accordance with, the laws of the State of California without regard to any other conflicts of law principles.

Any controversy or claim arising out of or relating to this The Call shall be settled by binding arbitration in Los Angeles, California, or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural Terms and Conditions for commercial disputes set forth in the Comprehensive Arbitration Terms and Conditions and Procedures of JAMS (“JAMS Terms and Conditions and Procedures”) then prevailing, and judgment upon the award rendered by the arbitrator(s) may be Submitted in any court having jurisdiction thereof. The arbitrator shall be selected pursuant to the JAMS Terms and Conditions and Procedures. The arbitrator shall apply California law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law. If the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable, or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the JAMS Terms and Conditions and Procedures, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal, or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable, or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty (60) days after the demand for arbitration is made, unless further extended by mutual agreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE SUBMITTER’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT SUBMIT THIS THE CALL IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL TERMS AND CONDITIONS.

BY PARTICIPATING IN THE CALL, EACH SUBMITTER AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (a) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CALL, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (b) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (c) UNDER NO CIRCUMSTANCES WILL ANY SUBMITTER BE PERMITTED TO OBTAIN ANY AWARD FOR, AND SUBMITTER HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (d) SUBMITTER’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND SUBMITTER IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY SUBMITTER.
